1. Agreement to Terms

By accessing or using the website and platform operated by The Haute Agency FZE ("we," "us," or "the Agency") at thehaute.agency, you agree to be bound by these Terms of Service. If you do not agree, please do not use our services.

2. Services

The Haute Agency provides fashion consultancy, brand development, wholesale management, buying optimisation, and related services for luxury and contemporary fashion brands and retailers operating in the GCC region. Our platform includes a client portal for project tracking, document sharing, invoicing, and communication.

3. User Accounts

Access to the client portal requires an account created by invitation. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at contact@thehaute.agency if you suspect unauthorised access.

4. Intellectual Property

All content on this website, including text, graphics, logos, and design elements, is the property of The Haute Agency FZE or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without prior written consent.

5. Client Deliverables

Deliverables produced under a consulting engagement (reports, strategy documents, buying plans) become the property of the client upon full payment of the associated invoice, unless otherwise specified in the engagement agreement.

6. Confidentiality

Both parties agree to treat all non-public business information shared during an engagement as confidential. This includes, but is not limited to, financial data, pricing strategies, sales figures, and client lists. Confidentiality obligations survive termination of any engagement.

7. Payment Terms

Invoices are due within the timeframe specified on the invoice (typically 30 days). Late payments may incur interest at 1.5% per month. We reserve the right to suspend access to the client portal for accounts with overdue invoices exceeding 60 days.

8. Limitation of Liability

To the maximum extent permitted by law, The Haute Agency FZE shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services or platform. Our total liability for any claim shall not exceed the fees paid by you in the twelve months preceding the claim.

9. Termination

Either party may terminate a consulting engagement with 30 days written notice. We reserve the right to suspend or terminate platform access for violations of these terms. Upon termination, your right to access the client portal ceases, though we will make your data available for download upon request for 30 days.

10. Governing Law

These terms are governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes shall be subject to the exclusive jurisdiction of the courts of Sharjah, UAE.

11. Changes to Terms

We may update these terms from time to time. We will notify active clients of material changes via email. Continued use of our services after changes constitutes acceptance of the updated terms.
